Ray concentrates his practice of law in the areas of mergers and acquisitions, contract negotiation, drafting and review, owner strategic planning through buy-sell agreements, business fractures, and secured lending. With respect to M&A, Ray has worked with numerous closely-held companies on various aspects of acquisition and sale transactions including with respect to purchase and sale agreements, restrictive covenant agreements, and consulting and employment agreements. In the area of business fractures, Ray not only strives to deliver well-crafted documents, but also seeks to advise clients on the best course of action in the midst of challenging circumstances. In every matter, Ray’s goal is to work closely with other trusted client advisors, adopting a team approach so that the client benefits from the full breadth of an advisor’s experience and area of focus. Ray strives to provide responsive and well-balanced advice and ensure there are strong communication lines among the parties and professionals throughout a matter.

Prior to joining Meltzer, Purtill & Stelle LLC over 17 years ago, Ray was an associate at Chapman and Cutler and Hopkins and Sutter.

Representative Matters:

Merger and Acquisition Transactions: Ray regularly represents buyers and sellers of closely-held businesses in acquisitions or sales of securities or assets. Ray has worked with various buyers and sellers, including strategic, financial/private equity and individuals. In these transactions, Ray has successfully worked through numerous and varied issues and strategic considerations, including entity selection, structuring and protecting deferred consideration, and due diligence review. Ray’s goal is preventative in nature - not merely utilizing documentation as an end in itself, but as a means to assist clients in drawing out, assessing and resolving potential issues and concerns prior to a closing.

Buy/Sell Agreements:

Ray regularly advises owners of closely-held companies in structuring complex buy/sell agreements which are intended to anticipate and respond to various life events as well as management and operational challenges. In crafting these documents, Ray works closely with owners to demystify a complex process and encourage client engagement in document structuring. This approach helps to ensure the resulting agreement matches up closely with the owners’ planning goals.

Business Fractures:

With an understanding that not every business arrangement can survive the test of time, and a conviction that not every disagreement must result in litigation, Ray strives to assist an owner within a fractured business in navigating through his or her options; with a commitment to balance protection with the important goal of moving on from a dysfunctional business relationship. Rather than highlighting differences, Ray focuses on assisting owners in finding common ground so they can find mutually beneficial solutions.
